Service Terms

Scope
SMPPCenter offers two commercial models: a Hosted/Rental Service, where SMPPCenter operates the platform on its own infrastructure, and a Self-Hosted License, where you receive a perpetual, per-server license to install and run the Software on infrastructure you control. Part A below applies if you subscribe to the Hosted/Rental Service. Part B applies if you hold a Self-Hosted License. Part C applies to both.
These Service Terms are a plain-language summary and apply in addition to, not instead of, the general Website Terms & Conditions, which govern use of this website generally. Where these Service Terms and the general Website Terms conflict on a matter specific to the Service, these Service Terms control. Where a signed order form, invoice, or written agreement between you and SMPPCenter conflicts with these Service Terms, that signed agreement controls.
“Service” means the Hosted/Rental Service or, where you hold a Self-Hosted License, the licensed Software running on your own infrastructure. “Software” means the SMPP Center application and related components, modules, scripts, and documentation supplied by SMPPCenter.
Part A: Hosted/Rental Service
Applies to customers who subscribe to SMPPCenter's hosted platform, run on infrastructure SMPPCenter controls.
Service Description & Term
The Hosted/Rental Service is provided on a rental or subscription basis for the period stated in your quotation or invoice; it is not sold or licensed as a copy of software, and no perpetual rights are granted. The Service automatically suspends upon subscription expiry unless renewed. You are granted a limited, non-exclusive, non-transferable right to access and use the Service during your active subscription term.
Fees & Payment
Subscription and rental fees are payable in advance for the relevant period (monthly or quarterly, as specified in your quotation or invoice). Fees may include subscription/rental charges, throughput or usage charges, support plan fees, and add-on module fees, and are exclusive of applicable taxes. Fees are non-refundable once the Service period begins.
Fees not paid when due may attract interest at 1.5% per month or part thereof, plus a late payment fee to cover administrative costs (as specified in your invoice, or 2% of the overdue amount subject to a minimum of USD $25 if not otherwise specified). SMPPCenter may suspend the Service without further notice if fees remain unpaid for 7 or more days after the due date.
SMPPCenter may revise pricing prospectively upon written notice, with at least 30 days' notice before an increase applies to any renewal. Revised pricing applies only to renewal terms, never retroactively to a term already paid for.
Account Access
You are responsible for your user credentials, access control, password security, and authorized users, and are liable for all activity under your accounts.
Acceptable Use for Messaging
You shall not use the Service for unlawful messaging, spam or unsolicited bulk messaging in violation of law, fraud or phishing, abusive traffic patterns, traffic violating telecom or regulatory rules, or sending prohibited content. You are solely responsible for consent, anti-spam, and do-not-disturb compliance, and for any regulatory registrations (such as DLT or NCPR scrubbing) required for your traffic; see Pricing for how that data responsibility is split. SMPPCenter may suspend Service immediately upon abuse risk.
Service Availability & Support
SMPPCenter will use commercially reasonable efforts to maintain Service availability, but no guaranteed uptime is provided unless expressly stated in a separate SLA. Scheduled and emergency maintenance are permitted. Interruptions caused by telecom operators, SMS routes, upstream carriers, or internet failures are outside SMPPCenter's control.
Standard support is provided during business hours via designated channels; premium support plans may be purchased separately. Support excludes customer-side integration code, third-party system issues, and operator delivery failures.
Data Responsibility
You are responsible for the legality and accuracy of all data and message content transmitted through the Service, and represent that you have lawful basis and consent for all recipient data used; SMPPCenter does not verify message legality. For hosted operations, SMPPCenter acts as a technical processor only, to the limited extent of message routing and delivery handling, and does not claim ownership of your data; you remain data controller and primary compliance owner. You remain responsible for your own regulatory, telecom, audit, VAPT, ISO, or certification obligations; certification success is not guaranteed.
Backups (During Active Service)
Platform-level backups may be performed at SMPPCenter's discretion during your active subscription. You are responsible for exporting and retaining your own records and reports. Backup restoration during an active subscription is not guaranteed unless separately contracted.
Service Expiry, Backup Retention & Restoration
1. Service Termination. Upon service expiration, suspension, or termination, the server may be decommissioned and scheduled for deletion. Customers are responsible for maintaining their own backups of all data before the service expires.
2. Backup Retention. Not every data center or hosting environment supports a full server image backup, and SMPPCenter cannot undertake to export and store an entire server's data to separate infrastructure for every customer. As a courtesy, SMPPCenter may instead retain important business data, such as billing records, user and reseller account data, and delivery reports (DLRs), for up to 7 calendar days after the service expiry date, where the hosting environment and backup method used for that server make this possible. Backup retention is provided at our sole discretion and is not guaranteed unless otherwise agreed in writing.
3. Restoration Fee. If retained backup data is available within the 7-day retention period, customers may request restoration by paying a one-time restoration fee, starting from USD $100 and scaling with the applicable plan and the volume of data being restored. This fee covers the storage costs, infrastructure resources, and engineering effort required to restore the data; SMPPCenter will confirm the applicable fee at the time of the restoration request.
4. Permanent Deletion. Backup data that is not restored within the 7-day retention period may be permanently deleted without further notice. Once deleted, the data cannot be recovered by SMPPCenter.
5. New Service Activation. If the backup data has been permanently deleted, or was never retained under Section 2 above, any future subscription will be treated as a new installation. A one-time installation fee will be applicable as per the plan/package selected, together with the applicable recurring service charges.
6. Customer Responsibility. Customers are solely responsible for downloading and maintaining copies of their own data before the service expires. SMPPCenter shall not be liable for any data loss resulting from service expiration, account termination, or deletion of expired backups.
Service Limits & Platform Changes
Throughput, connection limits, and technical thresholds may apply and may be enforced automatically; SMPPCenter may rate-limit traffic to protect platform stability. SMPPCenter may modify, upgrade, or replace platform components provided core functionality is not materially reduced.
Suspension Rights
SMPPCenter may suspend the Service without prior notice for: payment default; abuse risk; regulatory complaint; telecom operator directive; security threat; or court or government order. Suspension does not waive your payment obligations.
Intellectual Property & Powered-By Attribution
All software, routing logic, platform design, and systems remain the exclusive property of SMPPCenter; no software ownership or copy rights are transferred to you. Where you subscribe under a Powered-By plan, attribution branding and a link to smppcenter.com must remain visible on designated admin panel pages (user/front panel pages are excluded, unless your quotation states otherwise). Removal requires upgrading to a non-attribution plan or paying the applicable attribution removal fee.
Message Delivery Dependency, KYC & Abuse Recovery
Message delivery depends on telecom operators, downstream carriers, filters, DLT platforms, and regulatory controls; SMPPCenter does not guarantee message acceptance or delivery by any operator or network, and operator rejections, filtering, blocking, template mismatch, or regulatory restrictions do not constitute a Service failure. You shall provide KYC, sender identity, template registration, and other regulatory information as required by telecom operators or regulators; failure to do so may result in suspension without liability to SMPPCenter. If your traffic results in operator penalties, blocking fees, or compliance charges imposed on SMPPCenter, you shall reimburse those charges.
IP Blocking, Server Blacklisting & Hosting Provider Actions
SMPPCenter may block IP addresses, or blacklist or ban servers, data center ranges, or traffic sources where it reasonably believes traffic involves or facilitates scamming, spamming, fraud, phishing, abuse, or a violation of Acceptable Use, or where required by data center rules, upstream carrier requirements, or regulatory/law-enforcement directives, with or without prior notice. The Service may be hosted on third-party data center or hosting infrastructure (e.g. Linode, Hetzner, or similar); such providers may block, suspend, or terminate servers for their own policy or security reasons without prior notice to SMPPCenter, and SMPPCenter is not liable for any resulting disruption, unavailability, or data loss.
Email Sending
The hosted server does not support outbound email delivery. You must use remote SMTP (or equivalent) for all email sending; SMPPCenter is not responsible for email delivery or for any impact resulting from your email configuration or third-party SMTP/email services.
Warranty Disclaimer & Limitation of Liability
The Service is provided “as is” without warranty of uninterrupted operation or delivery success; telecom delivery is operator-dependent. SMPPCenter is not liable for indirect, consequential, or loss-of-business damages. SMPPCenter's total liability under the Hosted/Rental Service shall not exceed the fees you paid in the preceding 3 months, except to the extent liability cannot be excluded or limited by applicable law.
Indemnity
You shall indemnify, defend, and hold harmless SMPPCenter and its affiliates, officers, and employees from claims, damages, losses, costs, or liabilities (including reasonable legal fees) arising from: your use of the Service in breach of these terms or applicable law; your data or message content (including claims of lack of consent or unlawful processing); your breach of the Acceptable Use terms above; or any third-party claim that your use of the Service or your content infringes a third party's rights. This clause survives termination.
Termination
Either party may terminate for material breach not cured within 15 days of written notice; the Service also terminates automatically upon non-payment. Upon termination, access is disabled. Data retention and restoration after termination or expiry follow the same Service Expiry, Backup Retention & Restoration terms above, whichever way the Service ended; you must export any data you need before the retention period there ends.
Part B: Self-Hosted License
Applies to customers who hold a perpetual license to run the Software on their own infrastructure.
License Grant & Restrictions
Subject to payment of applicable fees and compliance with these terms, SMPPCenter grants you a non-exclusive, non-transferable, perpetual, worldwide license to use the Software for your internal business purposes, on a per-server, per-Installation basis. Each physical server, virtual machine, container, or node running an instance of the Software counts as one Installation; failover, mirror, or high-availability setups running a separate instance each require a separate license. No ownership rights are transferred to you.
You shall not: copy the Software except for one backup copy for disaster recovery, held under the same security restrictions as the original; install the Software on more Installations than licensed; distribute, resell, sublicense, lease, or share the Software; provide the Software to third parties as a hosted platform; use the Software for competing product development; remove or alter proprietary notices; or bypass usage controls or protection mechanisms.
Intellectual Property & No Reverse Engineering
All rights, title, and interest in the Software, including source code, object code, SMPP logic, routing logic, database structures, license mechanisms, architecture, documentation, and trade secrets, remain exclusively with SMPPCenter; no implied rights are granted. You shall not reverse engineer, decompile, disassemble, decode, analyze, benchmark, or attempt to derive the source code, algorithms, protocols, internal structure, license mechanisms, or security controls of the Software, and shall not create derivative works or competing implementations based on it. This restriction survives indefinitely, including after termination.
Delivery, Installation & Acceptance
The Software is delivered and installed by SMPPCenter on your designated server environment. The standard installation timeline is up to 72 hours after full payment of the license fee and SMPPCenter's receipt of server access (credentials, required ports, and confirmation of server readiness) as specified by SMPPCenter. You are responsible for server readiness and the prerequisite environment as communicated by SMPPCenter.
You shall report any material non-conformity in writing (email acceptable) within 3 working days of Go-Live, describing it in reasonable detail; failing such notice, the Software is deemed accepted. Non-material defects or minor bugs do not delay acceptance or constitute grounds for rejection.
Support
Free technical support is provided for 90 days from Go-Live for confirmed Software bugs (a defect SMPPCenter, after reasonable investigation, acknowledges as a defect in the Software itself, not your configuration, third-party software, or environment). Support excludes custom development, server administration, third-party conflicts, and configuration beyond standard scope. If you do not subscribe to ongoing paid support, per-incident support is available at USD $60 per incident, covering up to one hour; time beyond that is charged at SMPPCenter's then-current hourly rate. Support charges are subject to change on written notice.
Application Upgrade Cost (AUC)
AUC is an optional, separately priced program covering version upgrades, patches, security fixes, compatibility updates, and minor feature enhancements, valid for the purchased period only; pricing is fixed for an active AUC term and any change applies only at renewal, with at least 60 days' notice before an increase applies. If you do not opt into AUC, your license remains valid and the Software continues to run, but you have no entitlement to upgrades or patches under these terms; a specific version upgrade may instead be purchased on a per-version basis at USD $50 per version, which does not include ongoing support or patches for intermediate versions.
Customization & Your Server Responsibility
Custom features are outside the license scope and require a separate written quotation; custom code ownership remains with SMPPCenter unless otherwise agreed in writing. You host and control your own server environment and are solely responsible for access control, credentials, backups, security, third-party access, data protection, and regulatory compliance in relation to your use of the Software and your data. SMPPCenter is not responsible for incidents arising from your server, configuration, or third-party access. In self-hosted deployments, you are the data controller (or equivalent under applicable law) for all data processed through the Software; SMPPCenter does not act as data processor or custodian.
Compliance & Certification Responsibility
You are solely responsible for obtaining and maintaining any security, compliance, regulatory, or certification requirements applicable to your business or infrastructure, including VAPT assessments, ISO certifications, audits, or telecom compliance checks. SMPPCenter does not guarantee the Software alone will satisfy any specific certification or audit requirement, and does not bear financial or contractual responsibility for audit, certification, consulting, or assessment costs. Where a certification or audit process identifies a reproducible defect within SMPPCenter's scope, SMPPCenter will use reasonable efforts to address it via a patch or update under applicable support/AUC coverage; remediation outside standard Software scope is separately chargeable. Infrastructure configuration, server hardening, network controls, OS settings, and third-party components remain your sole responsibility.
Payment & Refund
License fees are non-refundable after delivery and acceptance (including deemed acceptance above). A refund applies only if the Software is not delivered at all after payment; except as required by applicable law, no refund is due once the Software has been delivered and the acceptance period has expired, or where you have breached these terms. You must verify your server requirements before purchase.
Warranty Disclaimer & Limitation of Liability
The Software is provided “as is” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law. SMPPCenter is not liable for indirect, incidental, special, or consequential damages, loss of profits, revenue, data, or business opportunity. SMPPCenter's total aggregate liability shall not exceed the total fees you paid in the 12 months preceding the event giving rise to the claim, except for liability that cannot be excluded or limited by applicable law (such as death or personal injury caused by negligence, or fraud).
Termination, Audit & Anti-Piracy
SMPPCenter may terminate the license upon material breach by giving 30 days' written notice specifying the breach, which becomes void if you cure it within that period to SMPPCenter's reasonable satisfaction; no cure period applies to breach of the License Restrictions, No Reverse Engineering, or Anti-Piracy terms, which may result in immediate termination. Upon termination, you must immediately cease use and delete or destroy all copies of the Software; no refund is payable upon termination.
SMPPCenter may request reasonable confirmation of your deployment to verify license compliance, no more than once per calendar year unless SMPPCenter reasonably believes you are in breach, with at least 15 days' written notice; you shall provide the requested information within 15 days. Unauthorized copying, redistribution, or multi-server use beyond the licensed scope constitutes a license violation and may result in immediate termination and legal action.
Powered-By Attribution (Self-Hosted)
Where your license is under a Powered-By or discounted tier, you agree to retain a visible attribution credit with an active link to smppcenter.com on each admin panel page only (not on user or front panel pages), which shall remain visible and functional at all times and shall not be removed or obscured without SMPPCenter's prior written consent. You may request removal by upgrading to a non-attribution tier or paying the applicable attribution removal fee; even where purchased, that removal option never extends to the admin login page or any admin panel page, which must always retain SMPPCenter branding and the link. Unauthorized removal is a material breach.
Part C: General Terms (Both Plans)
Authorized Communications & Instructions
You may communicate instructions, authorizations, or approvals to SMPPCenter through email, WhatsApp, or other messaging channels associated with a person you have designated, or have previously allowed to act, as an authorized representative. SMPPCenter may reasonably rely on and act upon such instructions in good faith, including instructions to access, migrate, clone, transfer, or modify servers, data, or configurations, without independently verifying that internal authorization exists within your own organization for that instruction.
Records of such communications, including WhatsApp messages, may be retained by SMPPCenter and used as evidence of the instructions given, the identity of the person giving them, and the basis on which SMPPCenter acted, including in connection with any dispute between you and your own officers, directors, partners, or employees.
It is your sole responsibility to notify SMPPCenter in writing of any change to your list of authorized representatives; until such notice is received, SMPPCenter is entitled to treat any previously authorized contact as still authorized. SMPPCenter shall not be liable for any loss, dispute, or claim arising from actions taken in good-faith reliance on instructions from a person you had previously held out, or allowed to act, as your authorized representative.
Force Majeure
Neither party is liable for delay or failure to perform due to events beyond its reasonable control, including acts of God, war, pandemic, government action, embargo, strike, or natural disaster. The affected party shall notify the other as soon as practicable.
Confidentiality
Each party shall protect the other's confidential information with reasonable care and shall not disclose it to third parties except to employees, advisors, or contractors who need to know it and are bound by equivalent confidentiality obligations, as required by law, or with the disclosing party's prior written consent. This obligation survives termination.
Export Compliance
You shall comply with all applicable export control and sanctions laws, and shall not use, export, re-export, or transfer the Service, Software, or any data through it in violation of such laws or to any prohibited country, entity, or person. You represent that you are not located in, under control of, or a national of any country subject to comprehensive embargo, and are not on any list of prohibited or restricted parties.
Governing Law, Jurisdiction & Dispute Resolution
These Service Terms are governed by the laws of India. The parties shall first attempt to resolve any dispute by good-faith negotiation; if unresolved within 30 days of one party notifying the other in writing, either party may refer the dispute to mediation in Mumbai, India, before pursuing litigation. The courts at Mumbai, Maharashtra, have exclusive jurisdiction, without limiting SMPPCenter's right to seek injunctive relief in any jurisdiction where you have assets or are located.
Assignment & No Agency
You may not assign these terms without SMPPCenter's prior written consent; SMPPCenter may assign them to an affiliate or successor upon written notice to you. Nothing in these terms creates a partnership, joint venture, agency, or employment relationship between the parties, and neither has authority to bind the other.
Electronic Execution, Entire Agreement & Notices
Any order form or agreement referencing these Service Terms may be executed electronically, and electronic signatures are valid and binding. These Service Terms, together with your applicable quotation, invoice, or signed agreement, form the entire agreement regarding the Service and supersede prior discussions; no amendment is valid unless in writing and signed by authorized representatives of both parties. Notices shall be in writing, sent to the registered address, or such email as a party designates, by registered post, courier, or email, and are deemed received when delivered (or, by email, when sent if no bounce is received).
Severability & Waiver
If any provision of these Service Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect, and the affected provision is modified to the minimum extent necessary to make it valid, or severed if that is not possible. No failure or delay by either party in exercising any right operates as a waiver; a waiver of one breach does not waive any other or subsequent breach.
Variation of These Terms
SMPPCenter may revise these Service Terms at any time. Where a change materially affects an active subscription or license, we will make reasonable efforts to notify you before it takes effect.
